SUBSCRIBER AGREEMENT

Thank you for using the virtual services (Xpedimeet or The Virtual Arbitrator) of Amicus Mediation & Arbitration Group. Please read this subscriber agreement as it governs your access to and use of the programs.

If you are acting as an employee, or are an attorney using the service on behalf of a client, you agree that this Agreement will bind your employer or client. As used in this Agreement, "You" or"Your" includes you and your employer or client.

Once you have reviewed the below, please indicate your acceptance of this agreement by clicking on the "I Accept" button or by using the services of Xpedimeet or TheVirtualArbitrator, you are agreeing to be legally bound by all of the terms and conditions of this Agreement.

  1. You agree that the mediator or arbitrator (Neutral ) selected for your case is not a legal representative of either party. The parties further acknowledge that the neutral is not acting in his or her capacity as an attorney and is not undertaking to provide legal advice to any party. The parties agree to hold the neutral and Amicus Mediation & Arbitration Group harmless on any claims that may arise in any way from the mediation or arbitration proceedings.
  2. The parties further agree that in instances of non binding mediation, the neutral nor anyone associated with Amicus Mediation & Arbitration Group may be compelled to appear or give testimony in any judicial, regulatory or administrative proceeding related to their dispute. That Amicus Mediation and Arbitration Group, Inc. and the mediator are immune from suit and not liable for any act or omission in connection with the mediation. The mediator is an independent contractor of Amicus Mediation & Arbitration Group, Inc. and serves as a neutral facilitator of the negotiations.
  3. License, Restrictions on Use: Amicus Mediation & Arbitration Group grants You a, nontransferable, nonexclusive license to enable you or your authorized users to use Xpedimeet and TheVirtualArbitrator.
  4. General Restrictions and Limitations: The License does not include the right to, and You will not directly or indirectly, (a) enable any person or entity other than Authorized Users to access and use the Xpedimeet or TheVirtualArbitrator.
  5. Equipment, Services and Facilities: You are solely responsible for providing, installing and maintaining at your own expense all equipment, facilities and services necessary to access and use The Virtual Arbitrator or Xpedimeet.
  6. Password: Each Authorized User will be issued or otherwise assigned a User Identification to access and use Amicus’ virtual services (The Virtual Arbitrator or Xpedimeet).
    You are solely responsible for tracking the User Identifications to specific Authorized Users and for ensuring the security and confidentiality of all User Identifications. You acknowledge that You are fully responsible for all liabilities incurred through the use of your username and password. You will immediately notify Amicus of any unauthorized use security security break to your account. Use of any User Identification other than as provided in this Agreement will be considered a breach of this Agreement by You.
  7. Warranty: You acknowledge that Amicus does not edit, and cannot verify, the completeness, propriety or accuracy of any Information or Third Party Content available through The Virtual Arbitrator or Xpedimeet. Amicus has no control over the contents of any Information and will not be responsible for any claimed loss of privilege or other claimed injury.
  8. HIPA Waiver: You acknowledge that it is Your responsibility to comply with the provisions of the Health Insurance Portability and Accountability Act of 1996 (HIPA). You further affirm that you herby waive and relinquish any right or claim of right created by HIPA or that your client has waived and relinquished any right or claim if right created by HIPA.
  9. Arbitration: Any unsettled dispute or claim arising out of or relating to this Agreement, shall be settled by binding arbitration under New York state law. The arbitration will be conducted by a single arbitrator and governed by rules of the American Arbitration Association.
  10. Modifications: This Agreement may be changed by Amicus Mediation & Arbitration Group. All amendments and current User Agreements will be posted on the website www.AmicusADR.com
    This agreement may not be modified by you unless such modification is agreed to in writing by Amicus Mediation & Arbitration Group.
  11. Nonwaiver: Waiver of any breach of any term or condition of this Agreement will not be deemed a waiver of any prior or subsequent breach.
  12. Severability: This Agreement will be enforced to the fullest extent permitted by applicable law. If any provision of this Agreement is held to be invalid or unenforceable to any extent, then (a) such provision will be interpreted, construed and reformed to the extent reasonably required to render the same valid, enforceable and consistent with the original intent underlying such provision and (b) such invalidity or unenforceability will not affect any other provision of this Agreement.
  13. Applicable Law: Jurisdiction and Venue. This Agreement will be interpreted, construed and enforced in all respects in accordance with the laws of the State of New York, USA
